The rules for using this website and how disputes are handled.

In plain language. This website is here to inform you about Elysium and let you contact us. Use it lawfully, do not try to break it, and do not send us confidential or health information through it. What we publish is general information, not a promise, offer or professional advice. Our commercial services are governed by separate written agreements, not by these Terms.

1. Acceptance of these Terms

These Terms of Use (the “Terms”) are a legal agreement between you and Elysium Innovative Labs LLC, which operates under the name Elysium Ecosystem (“Elysium”, “we”, “us” or “our”). They govern your access to and use of elysiumecosystem.com, its localized versions, and any content, features, forms and communications offered through them (the “Website”).

By accessing or using the Website, or by submitting a form on it, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Website. If you use the Website on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes it.

2. Changes to the Website and to these Terms

We may change, suspend or discontinue any part of the Website at any time. We may also update these Terms. The updated Terms take effect when we post them, and the “last updated” date above shows the latest revision. If a change is material, we will provide a more prominent notice. Your continued use of the Website after a change means you accept the revised Terms. If you do not accept them, you must stop using the Website.

3. The Website and the Services are different things

The Website is informational. Elysium’s platform and solutions (Elysium Core, MOTAI, OBI, ECOE, Elysium Meet, Nexus and the industry solutions built on them, the “Services”) are provided only to organizations that sign a written agreement with us, such as a master services agreement, order form, data processing agreement or, for healthcare organizations, a business associate agreement (each a “Services Agreement”). A Services Agreement governs the Services. If it conflicts with these Terms regarding the Services, the Services Agreement controls. These Terms do not create any obligation for us to provide the Services to you.

4. Eligibility

The Website is intended for business use by individuals who are at least 18 years old, or the age of majority where they live, whichever is greater. If you are younger, do not use the Website or submit personal information through it.

5. Limited license

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Website for your internal business evaluation of Elysium and to communicate with us. All rights not expressly granted are reserved. You may print or download a reasonable number of copies of our legal documents and public information for your own records.

6. Acceptable use

You agree not to, and not to permit or assist anyone else to:

  • violate any law, regulation or third-party right, including intellectual property, privacy and publicity rights;
  • probe, scan or test the vulnerability of the Website, or breach or circumvent any security or authentication measure, except as permitted by Section 15;
  • interfere with or disrupt the Website or its servers or networks, including through denial-of-service attacks, excessive requests or load testing;
  • introduce malware, or transmit anything that is unlawful, defamatory, harassing, obscene, fraudulent or otherwise harmful;
  • use bots, crawlers, scrapers or other automated means to access the Website or extract content or data, other than standard search-engine indexing that respects our robots.txt file;
  • copy, mirror, frame or reproduce the Website or its content in a way that suggests affiliation with or endorsement by Elysium;
  • use content from the Website to train, fine-tune or evaluate machine-learning or generative-AI models, or to build datasets, without our prior written permission;
  • reverse engineer, decompile or attempt to derive the source code or design of any part of the Website or Services that we do not make available in source form, except where applicable law forbids that restriction;
  • submit false, misleading or another person’s information, or impersonate any person or entity;
  • send us unsolicited advertising, or use contact details obtained from the Website to send bulk or unsolicited communications; or
  • use the Website to develop a competing product or to benchmark it for a competitor.

7. Submissions and communications with us

Do not send confidential, sensitive or health information. The Website and our general mailboxes are not designed to receive confidential information, protected health information, patient information, payment card numbers, government identification numbers or other sensitive data. Do not include them in the contact form, in emails or in text messages to us unless we have agreed in writing on a secure channel. Nothing you send to us through the Website creates a confidential relationship or a duty on our part to keep it confidential beyond our Privacy Policy and applicable law.

Accuracy and authority. Information you submit must be accurate and current, and you must have the right to submit it.

Contact consent. By submitting your details, you ask us to contact you about your inquiry by the means you provided. We send marketing communications only in accordance with the Email Policy and the Messaging Terms and your choices.

Feedback. If you send us ideas, suggestions or other feedback about the Website or Services (“Feedback”), you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, modify and commercialize it for any purpose without obligation or attribution to you. Feedback does not include your personal information, which we handle under the Privacy Policy.

8. Intellectual property

The Website and its content, including text, graphics, logos, icons, illustrations, layout, design, software, and the selection and arrangement of all of them, are owned by Elysium or its licensors and protected by copyright, trademark and other laws. “Elysium”, “Elysium Ecosystem”, the names of our products and solutions, and our logos are marks of Elysium, whether or not registered, and you may not use them without our prior written permission, except to make accurate, non-misleading references to us. Third-party names and marks belong to their owners, and their appearance on the Website does not imply endorsement or affiliation.

If you believe material on the Website infringes your copyright or other intellectual-property rights, send a written notice to legal@elysiumecosystem.com that includes: your name and contact details; a description of the work and of where the material appears on the Website; a statement that you have a good-faith belief that the use is not authorized by the owner, its agent or the law; a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may remove or disable access to material, notify the person who supplied it, and terminate repeat infringers where appropriate. The Website does not host user-generated content.

The Website may link to or embed websites, tools and services operated by others, such as fonts and hosting infrastructure. We do not control them and are not responsible for their content, availability, security or practices. A link is not an endorsement. Your dealings with third parties are governed by their terms and policies.

11. Information only; no advice; no offer

The content of the Website is provided for general information. It is not legal, medical, clinical, financial, tax, security, compliance or other professional advice, and it is not a substitute for advice from a qualified professional who knows your circumstances. Descriptions of the Services, features, integrations, industry solutions and availability (including solutions described as in development, planned or coming soon) are illustrative, may change, and are not a commitment to deliver any feature by any date. Nothing on the Website is an offer capable of acceptance, a guarantee of results, or a representation that the Services satisfy any particular legal or regulatory requirement for you. Only a signed Services Agreement creates binding commitments to provide the Services. Statements about the future or about intended outcomes are forward-looking, involve uncertainty and may prove inaccurate.

Health and emergencies. The Website and any automated assistant we operate do not provide medical advice, diagnosis or treatment. In a medical emergency, contact your local emergency number (911 in the United States, 112 in the European Union) or, in the United States, call or text 988 for the Suicide & Crisis Lifeline. Do not rely on the Website, email or text messages for emergency communications.

12. Automated and AI-assisted features

We may use automated tools, including artificial intelligence, to help operate the Website or respond to inquiries. Outputs may be incomplete or inaccurate. You should verify important information before acting on it. Where required by law, we tell you when you are interacting with an automated system.

13. Privacy

Our Privacy Policy explains how we handle personal information, and our Cookie Policy explains cookies and similar technologies. Health information is addressed in the Health Information Notice.

14. Accessibility

We aim for the Website to conform to WCAG 2.2 Level AA. See the Accessibility Statement to learn more or to report a barrier.

15. Security research and reporting vulnerabilities

If you believe you have found a security vulnerability in the Website, please report it to security@elysiumecosystem.com with enough detail to reproduce it. We regard good-faith research as authorized, and will not pursue legal action against it, where you: make a good-faith effort to avoid privacy violations, data destruction and service disruption; access only the minimum data needed to demonstrate the issue and do not retain, share or exploit it; do not use social engineering, physical attacks or denial-of-service techniques; test only the Website and not our Customers’ systems or third-party services; and give us a reasonable period to fix the issue before disclosing it. This section does not authorize activity that is unlawful in your jurisdiction.

16. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE WEBSITE WILL BE SECURE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this Section may not apply to you.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ELYSIUM AND ITS AFFILIATES, AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS AND SERVICE PROVIDERS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE WEBSITE AND THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for willful misconduct, or any rights you have as a consumer that cannot be waived under the law where you live. Liability under a Services Agreement is governed solely by that agreement.

18. Indemnification

To the extent permitted by law, if you use the Website for a business purpose you will defend, indemnify and hold harmless Elysium and its affiliates, and their directors, officers, employees and contractors, against any third-party claims, and the resulting losses, damages, liabilities, costs and expenses (including reasonable attorneys’ fees), arising from your breach of these Terms, your violation of law or third-party rights, or the information you submit to us. This Section does not apply to consumers where the law forbids it.

19. Suspension and termination

We may suspend or terminate your access to the Website at any time, with or without notice, if we believe you have violated these Terms or the law, or to protect the Website, our Customers or others. Sections that by their nature should survive termination will survive, including Sections 7 (Feedback), 8, 16 to 18 and 21 to 24.

20. Export controls and sanctions

You may not use, export or re-export anything obtained from the Website in violation of U.S. or other applicable export-control and economic-sanctions laws. You represent that you are not located in, and are not a national or resident of, a country or territory subject to comprehensive U.S. sanctions and that you are not on any U.S. government list of prohibited or restricted parties.

21. Governing law

These Terms and any dispute arising out of or relating to them or the Website are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

22. Informal resolution

Before starting any formal proceeding, you and Elysium agree to try to resolve the dispute informally. Send a written notice describing the dispute and the outcome you seek to legal@elysiumecosystem.com (and to the address in Section 27 if you are able). We will do the same to the contact details you provide. The parties will then negotiate in good faith for at least 30 days.

23. Binding arbitration and class-action waiver (business users)

If a dispute is not resolved within 30 days, and to the extent permitted by law, you and Elysium agree that the dispute will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, conducted in English, with the seat of arbitration in Pinellas County, Florida, and with judgment on the award enforceable in any court of competent jurisdiction. Either party may bring an individual claim in small-claims court instead, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or confidential information or to prevent unauthorized access to the Website.

Class-action and jury waiver. To the fullest extent permitted by law, all claims must be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding, and each party waives any right to a jury trial.

Opt-out. You may opt out of this arbitration agreement by emailing legal@elysiumecosystem.com within 30 days after you first accept these Terms, stating your name and that you opt out of arbitration. If you opt out, or if this Section is held unenforceable, disputes will be resolved exclusively in the state and federal courts located in Pinellas County, Florida, and you and Elysium consent to their jurisdiction and venue.

Exceptions. This Section does not apply to consumers who live in the European Economic Area, the United Kingdom, Québec or another jurisdiction where the law prohibits a consumer from waiving access to local courts. Those consumers may bring claims in the courts of their place of residence, and mandatory consumer-protection laws of that place continue to apply.

24. Consumer and mandatory rights

If you are a consumer, nothing in these Terms affects your statutory rights, including any right to rely on the mandatory consumer-protection law of the country where you live or to bring a claim before its courts.

25. Electronic communications and notices

By using the Website you consent to receive electronic communications from us, including notices, and agree that they satisfy any legal requirement that communications be in writing. We may give notice by posting it on the Website or by emailing the address you provided. You give notice to us by email to legal@elysiumecosystem.com and by post to the address in Section 27. Notices are effective when sent or posted, as applicable.

26. General

These Terms, together with the Privacy Policy and any other document they reference, are the entire agreement between you and us regarding the Website and replace prior understandings on that subject. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the remainder will stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or a successor to our business. Neither party is liable for delay or failure caused by events beyond its reasonable control. There are no third-party beneficiaries. Headings are for convenience only, and “including” means “including without limitation”.

English language controls. These Terms are written in English. Translations are provided for convenience only, and if there is a conflict the English version controls, except where the law of your country requires otherwise.
